What was it like to sell KDR to Big Rock?

Dustin and Aaron with Big Rock Holdings have both been very accommodating, understanding and professional to work with. In the initial meeting with Dustin it was made very clear to me as to exactly what they were looking for, how the acquisition would affect KDR Services and what would be expected once a deal was finalized. Both Aaron and Dustin have specific knowledge and experience in their part of this process and have made the overall experience pleasant from day one.

Since the final closing, Big Rock Holdings has kept true to their word and has been very helpful in working with the KDR staff: helping update our current website, finding a larger office to allow for growth, and updating processes to make everyday operation better for us all. Knowing what it is like to start and build your own company from the ground up, I am very appreciative to have found a partnership that, in my opinion, will be great for the continued name and reputation that KDR Services has always strived for in the Austin market.

What do you look forward to most next?

What does Big Rock Holdings do?

Big Rock Holdings is a Texas holding company that buys mechanical, electrical, and plumbing (MEP) contracting businesses and holds them permanently. We pay owners real cash at closing, encourage them to keep a real ownership stake in the go-forward company, and back the team that built the business with AI, technology, and capital. We only buy in Texas, and we only buy MEP trades.

Is Big Rock Holdings a private equity firm?

No. Big Rock is not private equity and is not a fund. Private equity buys a company with a fund that has to return money to its investors, which puts the business on a three-to-five-year clock to be resold. Big Rock uses permanent capital: there is no fund, no exit deadline, and nobody waiting to flip your company. We buy businesses to hold them, and we let the operators who are already winning the work keep running it.

What kinds of businesses does Big Rock buy?

We buy established Texas contractors in three trades: mechanical and HVAC (commercial and residential climate control, mechanical construction, and energy-efficiency work), electrical (commercial and residential electrical construction and service), and plumbing (commercial and residential plumbing construction and service). We are interested in both new-construction and service-focused companies as long as they are in one of these trades and based in Texas.

Do you only buy companies in Texas?

Yes. Big Rock buys businesses anywhere in Texas, from Austin to Amarillo to El Paso to Beaumont, and nowhere else. We are based in Texas, we hold companies for the long term, and we would rather know one state deeply than spread across many. If your MEP company is outside Texas, we are not the right buyer.

What does Big Rock look for in a company?

Four things matter most to us. First, a reputation your competitors respect, meaning general contractors, facility owners, or homeowners call you first. Second, proven crews and leaders who win the work and can keep winning it after the owner steps back. Third, an owner who cares what happens to the company, the people, and the name after the sale. Fourth, a Texas location and an MEP trade. We do not publish revenue or earnings minimums; if your company fits those four descriptions, we want to talk.

How does a sale to Big Rock work?

A Big Rock deal has four parts. One, real cash at close: we buy the business and you get paid for the decades of risk you carried, with a simple structure and no financial engineering you need a translator to read. Two, a real stake in the go-forward company: we encourage owners to invest alongside us, so when the business grows, you win twice. Three, your team gets upgraded with AI-assisted estimating, modern operations, and capital for the people, trucks, and equipment your crews have been asking for. Four, we hold the company for the long haul. Your name stays on the building, your people stay on the job, and Big Rock stays your partner.

Can I keep an ownership stake after I sell?

Yes, and we strongly encourage it. Big Rock buys the business, which gives you cash today, and then invites you to reinvest in the go-forward company alongside us. That is how owners win twice: once at closing and again as the company grows with more resources behind it. The size of your stake is worked out deal by deal.

Do I have to stay and run the company after the sale?

That is your call. Many owners want to keep leading, and we want them to, with more horsepower behind them. Owners who are ready to step back can do that too. In that case we work with you to set up the second generation of leaders, the people already winning work inside your company, to run what comes next. Either way, the plan is built around what you want, not around an investor's timeline.

What happens to my employees and my company's name?

They stay. We do not fly in consultants who have never pulled wire, set a unit, or sweated a bid day, and we do not cut costs until the culture walks out the door. Same name on the trucks, same crews on the job, same customers. Our job is to give your team more resources, not to replace them.

Will Big Rock sell my company again later?

We do not buy to sell. Because Big Rock is funded with permanent capital rather than a fund, there is no exit clock and no obligation to resell. Our plan for every company we buy is to hold it and grow it for the next generation. That is the biggest difference between Big Rock and a private equity buyer.

What does "permanent capital" and "not a fund" actually mean?

A private equity fund raises money from outside investors for a fixed period and must sell its companies to return that money, usually within three to five years. Permanent capital means Big Rock's ownership is not tied to a fund with an end date. Nobody is waiting on an exit, so decisions get made for the long-term health of the business, not for a sale date.

What does Big Rock bring to a company besides money?

Three things: AI, technology, and capital. AI-assisted estimating and modern operating tools help your team bid faster and run tighter. Capital funds the people, trucks, equipment, and facilities your crews have been asking for. And we invest in the operators already inside the company rather than handing your superintendent a playbook. The goal is your company, upgraded, not a different company.

How is the purchase price paid?

Primarily in cash at closing, structured simply. We would rather write a clear deal an owner can understand than a complicated one that looks bigger on paper. If you choose to reinvest in the go-forward company, that stake is set up alongside the cash payment. Specific terms depend on the business and are discussed directly with you.

What if I am not ready to sell for a few years?

That is fine, and it is often the best time to start a conversation. Getting to know each other early lets us understand your company, your people, and what you want the next chapter to look like, so that when you are ready, the deal is simple. There is no obligation and no pressure attached to an early conversation.

Is a conversation with Big Rock confidential?

Yes. Every conversation is confidential. We understand that word getting out about a possible sale can unsettle employees, customers, and competitors, so nothing you share with us goes anywhere without your permission. There are no pitch decks and no obligation; a first conversation is just a conversation.
